This Member-Creator Agreement ("Agreement") governs the direct relationship between members ("Members") and verified creators ("Muses") on Chatalystar. It supplements, and is incorporated by reference into, our Terms of Service.
When a Member engages with a Creator (a verified "Muse") on Chatalystar — including by tipping, unlocking content, or purchasing time-limited or exclusive media — the Member and the Creator enter into a direct contractual relationship with each other. Chatalystar Corporation ("Chatalystar") acts as a technology and payments intermediary, providing the platform, identity verification of Creators, the in-platform crystal balance, and dispute facilitation.
Chatalystar is not a party to the underlying Member-Creator contract for any given purchase or interaction, except as expressly set forth in this Agreement or in the Terms of Service.
Member purchases on the platform are denominated in crystals, the in-platform balance unit. Crystals trade at a reference rate of 100 crystals = 1 USDC on Base. Crystals are not legal tender, are not redeemable for cash with Chatalystar, and have no value outside the platform except as expressly provided in this Agreement and the Terms of Service.
Creators set their own prices for tips, unlocks, drops, and exclusive content, subject to any minimums or maximums Chatalystar may impose to comply with payment processor or card-network requirements. Settlement to Creators occurs in accordance with the schedule and method described in the Creator Payouts policy linked from the platform. Settlement is instant: payouts are made on-chain in USDC on Base at the moment of purchase, with no scheduled payout cadence and no minimum payout threshold. Muses may withdraw at any time.
Members pay a 5% platform contribution fee on top of the listed price. Muses keep 100% of the listed price for their content and tips. Network gas fees, if any, are disclosed at the point of purchase.
All crystal purchases, in-platform unlocks, tips, gifts, and Chatalystar product purchases are final. Chatalystar does not offer refunds. Limited exceptions may be considered solely at Chatalystar's discretion in cases of duplicate charges, technical billing error, or as required by applicable consumer-protection law.
Chargebacks initiated without first contacting support@chatalystar.com may result in account suspension and may be disputed by Chatalystar with the relevant card network.
Members and Muses agree to interact respectfully and within the boundaries of consent. The following are prohibited and may result in suspension or termination:
When a Member purchases or unlocks content from a Muse, the Member receives a limited, non-exclusive, non-transferable, revocable license to view that content within the platform for personal, non-commercial use. The Member does not acquire ownership, redistribution rights, or any right to download, copy, record, screenshot, or share the content outside the platform, except where expressly permitted in writing by both the Muse and Chatalystar.
Muses retain ownership of their content and grant Chatalystar the operational license described in the Terms of Service to host, display, transmit, and otherwise process the content for the purpose of operating the Service.
Members and Muses agree to attempt to resolve disputes between themselves in good faith before involving Chatalystar. Where Chatalystar's involvement is required, the parties agree to cooperate with Chatalystar's good-faith determination of the dispute, which may include partial or full reversal of a transaction, removal of content, account restrictions, or other remedies described in the Terms of Service.
The governing law and forum for disputes between a Member or Muse and Chatalystar are set out in the Terms of Service. The governing law and forum for disputes between a Member and a Muse are the Province of Ontario, Canada.
Muses are independent contractors and are solely responsible for their own taxes, business filings, recordkeeping (including under 18 U.S.C. § 2257 where applicable), and compliance with the laws of their jurisdiction. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between Chatalystar and any Muse or Member.
This Agreement remains in force for so long as a Member or Muse maintains an account on Chatalystar. Either party may terminate their account in accordance with the Terms of Service. Sections of this Agreement intended to survive termination — including those addressing licensing, payment finality, dispute resolution, and limitation of liability — will so survive.
